Terms of Service

Welcome to NXTRUNN! These Terms of Service (“Terms”) govern your access to and use of the NXTRUNN platform, including our website, web application and installable PWA, native mobile applications for iOS and Android (distributed via the Apple App Store and Google Play), our partner and business portal at partners.nxtrunn.com, and all related features and services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

1. Acceptance of Terms

By creating an account, accessing, or using NXTRUNN, you agree to these Terms and our Privacy Policy. We may update or modify these Terms at any time; your continued use after changes are posted constitutes acceptance.

2. Account Registration and Responsibilities

a) Eligibility. You must be at least 13 years old. If you are under 18, you represent that a parent or legal guardian has consented to your use of the Services.

b) Account Creation. Certain features require an account with accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials.

c) Responsibilities. You agree to use your account only for lawful purposes, not to share, sell, or transfer your account, and to notify us immediately of any unauthorized access. We may suspend or terminate accounts that violate these Terms.

3. Acceptable Use and Community Standards

When using NXTRUNN, you agree:

• To engage respectfully and avoid harassment, abuse, or hate speech
• Not to upload or share illegal, harmful, or misleading content
• Not to use the platform for spam, phishing, or unauthorized advertising
• To respect intellectual-property rights and not share copyrighted material without permission
• Not to interfere with the operation of the Services through hacking, malware, scraping, or disruptive activity
• Not to manipulate, exploit, or defraud the rewards system, challenges, reviews, ratings, or check-ins

NXTRUNN is built for an inclusive community. The following are prohibited and may result in immediate suspension or permanent ban: racial discrimination or hate speech; body shaming, pace shaming, or disrespectful remarks about another person’s physical abilities; and teasing, bullying, or harassment based on gender, race, ability, or any personal characteristic.

4. User-Generated Content

a) Your Content. By posting, uploading, or sharing content (including posts, comments, reviews, photos, listings, and event details), you grant us a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute that content for operating and promoting the platform.

b) Ownership. You retain ownership of your content, and you represent that you have the rights to share it and that it does not infringe any third-party rights.

c) Monitoring and Removal. We may monitor, remove, or restrict access to content that violates these Terms or is otherwise inappropriate.

5. Memberships, Purchases, and Payments

a) Memberships and subscriptions. NXTRUNN offers a free tier and a paid membership (Pro). When purchased inside our mobile apps, paid memberships are sold as auto-renewing subscriptions through Apple In-App Purchase or Google Play Billing. Payment is charged to your Apple or Google account at confirmation. Subscriptions automatically renew for the same period at the then-current price unless canceled at least 24 hours before the end of the current period. You manage and cancel subscriptions through your Apple App Store or Google Play account settings; deleting the app does not cancel a subscription. Where required, you may also be offered web-based purchase options governed by these Terms.

b) Tickets, merchandise, and other purchases. You may purchase event tickets, merchandise, and other goods or services. Event ticketing and merchandise payments are processed by Stripe; merchandise is fulfilled by Printful. By purchasing, you agree to pay all applicable fees and taxes.

c) Payment processing. Payments are handled by third-party processors (Apple, Google, Stripe). We do not store full card details.

d) Platform fees and organizer payouts. For events sold natively through NXTRUNN, we may charge organizers a platform fee, with payouts handled via Stripe Connect. Fees are disclosed to organizers at listing time.

e) Refunds.Subscription refunds are handled by Apple or Google under their policies. Event-ticket refunds are governed by the organizer’s stated policy at the time of purchase. Merchandise and other refund terms are communicated at purchase. For non-app-store inquiries, contact app@nxtrunn.com.

6. Rewards, Move Points, and Tap Credits

NXTRUNN includes a rewards program that may award virtual points (such as Move Points and Tap Credits) for activity, participation, and challenges. Virtual points and rewards:

• Have no monetary value, are not your property, and are not redeemable for cash
• May not be purchased, sold, or transferred except through features we expressly provide within the Services
• May be earned, adjusted, expired, or revoked at our discretion, including to address fraud, abuse, or errors
• Do not constitute a financial instrument, security, or currency

Challenges, including sponsored or partner challenges, may have additional rules disclosed at the time of participation.

7. Events, Ticketing, and Check-In

NXTRUNN surfaces both NXTRUNN-hosted events and external events. For events you RSVP to or purchase, we may issue a digital ticket or Apple/Google Wallet pass with a QR code for check-in. Event details, eligibility, refunds, and conduct are the responsibility of the listed organizer. You agree not to duplicate, resell, or transfer tickets except as permitted by the organizer.

8. Partner Portal, Businesses, and Organizers

If you use the partner portal as a business owner, event organizer, run-club lead, or coach, you additionally agree to:

• Provide accurate listing and business information and keep it up to date
• Only claim or operate listings you are authorized to represent, and complete any required verification
• Complete Stripe Connect onboarding to receive payouts, and be responsible for your own taxes, licenses, and legal compliance
• Honor the deals, tickets, challenges, and offers you publish, and handle your own customer and refund obligations
• Not post misleading, infringing, or prohibited content

We may review, suspend, or remove partner listings and accounts that violate these Terms.

9. Health, Fitness, and Assumption of Risk

NXTRUNN provides running, training, pacing, and fitness-related information and tools for general informational purposes only. We are not a medical provider, and nothing in the Services is medical, health, nutritional, or professional advice. Running and physical training carry inherent risks. Consult a qualified physician before beginning or changing any exercise or training program. You participate in running and related activities at your own risk and assume full responsibility for your health and safety. To the fullest extent permitted by law, NXTRUNN is not liable for any injury, harm, or loss arising from your physical activity or your reliance on information provided through the Services.

10. Beta and Pre-Release

Portions of the Services may be offered as a beta, preview, or pre-release (including through Apple TestFlight or early app builds). Beta features are provided “as is,” may contain errors, may change or be discontinued at any time, and may not reflect final functionality. If you provide feedback, you grant us a perpetual, royalty-free license to use it without obligation to you.

11. App Store Additional Terms

These Terms are between you and NXTRUNN, not with Apple or Google. The following apply to the extent you use our iOS app obtained from the Apple App Store:

• The license granted is a limited, non-transferable license to use the app on Apple-branded devices you own or control, as permitted by the App Store Terms of Service.
• Apple has no obligation to furnish any maintenance or support for the app.
• Apple is not responsible for any product warranties, whether express or implied. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); Apple has no other warranty obligation.
• Apple is not responsible for addressing any claims relating to the app, including product-liability, legal/regulatory, and consumer-protection claims; intellectual-property claims are the responsibility of NXTRUNN.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as “terrorist supporting,” and that you are not on any U.S. Government restricted-party list.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

Equivalent terms apply to use of our Android app obtained through Google Play, subject to the Google Play Terms of Service and applicable Google policies.

12. Termination

We may suspend or terminate your access at any time for violating these Terms or for other reasons, including prolonged inactivity. You may delete your account at any time. On termination, your access to certain content or features will be revoked, and we may retain certain information as required by law. Active app-store subscriptions must be canceled through Apple or Google.

13. Intellectual Property

All content on NXTRUNN, including text, graphics, logos, software, and trademarks, is the property of NXTRUNN or its licensors and is protected by intellectual-property laws. You may not copy, modify, or distribute it without prior written permission.

14. Disclaimers

The Services are provided “as is” and “as available.” We make no guarantees regarding availability, accuracy, or reliability. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted service.

15. Limitation of Liability

To the maximum extent permitted by law, NXTRUNN and its owners, employees, and affiliates will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Services. If you are dissatisfied with the Services, your sole remedy is to stop using them.

16. Indemnification

You agree to defend, indemnify, and hold harmless NXTRUNN and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your violation of these Terms or your misuse of the Services.

17. Third-Party Links and Services

The Services may contain links to third-party websites or services. We are not responsible for their content, policies, or practices. Use them at your own risk.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in New Jersey.

19. Changes to These Terms

We may update these Terms periodically. Changes are effective when posted on this page. Continued use of the Services constitutes acceptance of the revised Terms.
